Terms of Service

ValueHalla helps you understand spending and align it with your values. We connect to banks via read‑only Open Banking. We don’t move money and we’re not your financial adviser.

By using the Service, you agree to these terms. If you don’t agree, don’t use the Service.

1. Who we are

ValueHalla Ltd (company details to be inserted) operates the Service. Contact: support@valuehalla.com.

2. Eligibility & accounts

  • You must be at least 16 and capable of forming a contract in your jurisdiction.
  • Keep your account credentials secure. You’re responsible for activities under your account.
  • We may suspend or terminate accounts for misuse, legal risk, or non‑payment.

3. Open Banking connections

  • Connections are read‑only; we cannot move, block, or initiate payments.
  • You authenticate directly with your bank via our Open Banking connectivity provider.
  • Access may expire periodically (often ~90 days) and require re‑consent.

4. Subscriptions, billing & trials

  • Paid plans are billed in advance on a recurring basis until cancelled. Prices include VAT where applicable.
  • We may offer free trials or promo periods; after they end, standard billing applies unless you cancel.
  • You can cancel at any time; your plan remains active until the end of the billing period.
  • Refunds are not guaranteed; we typically don’t refund partial periods except where required by law.

5. Permitted use

  • Use the Service for personal, lawful purposes in accordance with these terms.
  • You may download or export your data for your own records.

6. Prohibited conduct

  • No illegal, harmful, or abusive activity; no reverse engineering or scraping except as permitted by law.
  • No unauthorised access, interference with the Service, or misrepresentation.
  • No reselling the Service without written permission.

7. Privacy

Our Privacy Policy explains how we handle personal data. By using the Service you acknowledge that processing.

8. Intellectual property

  • The Service (and all related content, trademarks, and software) is owned by ValueHalla or its licensors.
  • You retain rights to your content and data. You grant us a limited licence to process it to provide and improve the Service.

9. Third‑party services

The Service integrates with third parties (e.g., Open Banking provider, cloud hosting, analytics). We aren’t responsible for their services; they may have their own terms and policies.

10. Disclaimers

The Service is provided "as is" and for information and educational purposes only. We do not provide financial, investment, tax, or legal advice. Decisions you make using insights are your responsibility.

11. Limitation of liability

To the fullest extent permitted by law, ValueHalla and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim will not exceed the amount you paid to us for the Service in the 12 months preceding the event.

12. Indemnity

You agree to indemnify and hold ValueHalla harmless from claims arising out of your misuse of the Service or breach of these terms.

13. Suspension & termination

We may suspend or terminate access for breach, legal risk, security issues, or non‑payment. You can export your data before closure; we may retain limited records as required by law.

14. Changes to the Service and terms

We may modify the Service and these terms. If changes are material, we’ll provide notice (e.g., email or in‑app). Continued use after the effective date means you accept the new terms.

15. Governing law & venue

These terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, except where consumer law provides otherwise.
